大家好,我是牛牛课代表!今天是系列课程《美股投资20讲》的第二讲《走进美股三大交易所》牛友们快搬好小板凳,一起来上课吧~本节课讲述美股三大交易所(纽约证券交易所、纳斯达克交易所和美国证券交易所)的发展历程。过去十年,美股经历了超长牛市,伴随着全球货币宽松和科技进步的红利,美股出现了大量的十倍股,其中不少科技类公司表现尤为亮眼,贡献了重要力量。值得关注的是,日前,苹果、亚马逊和微软这三只科技股的市值占标普500指数的20%,占纳斯达克100指数超过三分之一。而它们的总价值约5万亿美元,超过了整个德国的经济总值。在波澜壮阔的美股背后,美国证券市场的三家交易所起着重要的支撑作用,它们分别是纽约证券交易所、纳斯达克交易所和美国证券交易所。今天这节课就这三家交易所的历史讲起,解读发展历程与当下的变革抉择。一、纽约证券交易所(New York Stock Exchange,简称NYSE)

纽约证券交易所的起源可以追溯到1792年5月17日,当时24个证券经纪人在纽约华尔街68号外一棵梧桐树下签署了《梧桐树协议》。注:此段历史可回顾第一讲哦。纽约证券交易所的第一个总部是1817年一间月租200美金,位于华尔街40号的房间。一战发生后不久(1914年7月),纽交所被迫关闭。但11月又重新开放,各种债券得以自由交易支持作战。2006年6月1日,纽约证券交易所与泛欧交易所合并组成纽约-泛欧证券交易所(NYSE Euronext)。2013年,纽约-泛欧证券交易所被$洲际交易所(ICE.US)$集团收购,并且获得主管机关批准。此后纽约-泛欧证券交易所结束营运,不复存在;自开业到结束将近六年。纽约证交所和泛欧交易所作为洲际交易所集团的子公司,依然继续营运。今年6月22日,纽交所向美国证券交易委员会(SEC)提交了一份修改后的IPO上市规则,希望在企业直接上市的同时,能直接面向投资者直接融资。媒体报道称,此举将改变现行的IPO市场。以往,IPO先由投行作为承销商进行售股融资,而不允许企业直接向投资者出售股票来融资。截至6月22日,共有1956家上市公司在纽交所上市,总市值26.9万亿美元(约合人民币190万亿元)。纽交所上市的中概股有阿里巴巴、中国电信、中国移动、中石油、跟谁学、新东方等。二、纳斯达克股票交易所(简称Nasdaq)

纳斯达克股票交易所是美国的一间电子股票交易所,创立于1971年,是现在世界上第二大的证券交易所。1971年,纳斯达克由国家证券业者协会创立,在2000年、2001年的一系列交易中分离出来,成立纳斯达克。目前由NASDAQ OMX集团拥有和运作,2002年7月2日其股票在自己的股票交易所上市,股票代码为NASDAQ:$纳斯达克OMX交易所(NDAQ.US)$。2006年,NASDAQ获得SEC批准正式成为美国股票交易所。次年,NASDAQ收购北欧交易所集团成立了NASDAQ OMX集团。随后分别于2007年和2008年收购波士顿股票交易所和费城股票交易所。纳斯达克根据净利润、总资产、市值等标准将股票市场分为以下三个层次,目的在于进一步优化市场结构,吸引不同层次的企业上市:1.纳斯达克全球精选市场 (NASDAQ-GS)纳斯达克全球精选市场的标准在财务和流通性方面的要求高于世界上任何其他市场,列入纳斯达克精选市场是优质公司成就与身份的体现。2.纳斯达克全球市场作为纳斯达克最大而且交易最活跃的股票市场,有近4400只股票挂牌。在纳斯达克全国市场上市的公司必须满足严格的财务、资本额和共同管理等指标。在纳斯达克全球市场中有一些世界上最大和最知名的公司。3.纳斯达克资本市场纳斯达克专为成长期的公司提供的市场,有1700多只股票挂牌。作为小型资本额等级的纳斯达克上市标准,财务指标要求没有全球市场上市标准那样严格,但他们共同管理的标准是一样的。上市开盘价4美元以上必须维持90天,之后不得低于1美元,否则就要降级到柜台交易,反之若公司营运良好且股价上升在5美元以上,则可申请到全球市场交易。此外,纳斯达克证券交易所总裁尼尔森·格里戈斯(Nelson Griggs)将纳斯达克视为创新的发源地,他认为:当世界更多地转向信息时代和以技术驱动发展时,如今即使很多看起来属于传统行业的公司,也选择在纳斯达克上市,「因为我们被看作是创新的代名词」。纳斯达克关注在企业发展周期中任何规模的具有潜力的公司,致力于与企业达成长期合作关系。大部分在纳斯达克上市的中概股,大家都很熟悉,譬如新浪、搜狐、网易、百度、携程网、富途控股等。三、美国证券交易所(American Stock Exchange,简称AMEX.)美国证券交易所,简称「ASE」或者「AMEX」,是美国第二大证券交易所和第三大证券交易市场,次于纽约证券交易所和纳斯达克场外证券交易市场。

Today's marketMarch 7, 2024 at 9:15 a.m. EDTMichael P. Reinking, CFASr. Market StrategistYesterday US equity markets closed higher recouping a good portion of Tuesday’s selloff. Yields moved modestly lower as there were no major surprises in the economic data or in Fed Chair Powell’s testimony. Markets in Asia were mixed overnight despite stronger than expected trade data in China, local markets closed lower. The Nikkei also traded down >1% as the Yen rallied >1% verse the USD as markets pull forward expectations for the BOJ to end its negative interest rate policy potentially this month. European indices are rallying and have extended gains after the ECB left rates unchanged but significantly revised inflation and growth forecasts lower. Global yields have moved lower following the release of the statement and President Lagarde’s press conference is underway. S&P futures have been moving higher with European markets currently at the overnight high trading ~0.4% above fair-value. Exchange---AMEX)美国证券交易所大致上的营业模式和纽约证券交易所一样。但是不同的是,美国证券交易所是唯一一家能同时进行股票、期权和衍生产品交易的交易所,也是唯一一家关注于易被人忽略的中小市值公司并为其提供一系列服务来增加其关注度的交易所。美国证券交易所通过和中小型上市公司形成战略合作伙伴关系来帮助其提升公司管理层和股东的价值,并保证所有的上市公司都有一个公平及有序的市场交易环境。概况它跟纽约证券交易所一样,1998年3月,美国证券交易所与NASDAQ交易所合并成为NASDAQ--AMEX集团公司。从2000年6月份起,美国证券交易所综合指数的表现一直超越纽约证券交易所综合指数、纳斯达克综合指数,以及其它主要金融指数。近几年在美国证券交易所上市的公司数量急剧增加。2008年01月22日,纽约-泛欧交易所集团将以价值2.6亿美元的纽交所普通股票,收购美国三大证交所之一的美国证券交易所,预计2008年三季度完成。由此,纽约的证券交易所将由三个变成两个。2009年1月16日,纽约证券交易所集团并购了美国证券交易所。美国证券交易所的特色服务时期权交易量最大,另外,ETF基金、封闭基金、货币基金等非常具有特点。发展历程美国证券交易所100多年前,在美国证券交易所的成立之初,美国证券交易所主要是交易那些不能在纽约证券交易所挂牌的企业的股票,而且交易的地方也非常简陋,是在路边的大街上,类似于一个自由市场。当时由于其交易要求低于纽约证券交易所,故也曾被称为“门槛交易所”。美国证券交易所正式成立于1921年,到这时才有了固定的交易场所,后来固定在纽约青尼狄坊86号,在华尔街附近,在80年代纳斯达克交易所大发展之前,它曾一直是美国第二大证券交易所。 就这样,关注中小盘面的企业成了美国证券交易所的历史选择。“在纽约证券交易所上市的主要是大型企业,上市条件非常严格,对于资本额很小,公司名气并不大的中小型企业而言,纽约证券交易所并不适合他们。”艾美向记者坦言。而纳斯达克则是科技股的天下,在美国上市的网络公司中,绝大部分都在纳斯达克。在纽约证券交易所和纳斯达克这两个市场中,投资人很少去关注小企业的股票,所以在这两个市场上,中小型企业的股票流动性普遍不足,企业更缺乏再次融资的机会。中小型企业所面对的这些问题和需求,就成就了美国证券交易所今天的市场定位,关注中小型企业,成为中小市值公司的最佳交易所。 同时,正如美国证券交易所前总裁萨尔瓦托·索达诺曾经指出的那样,“美国99%的雇主都是中小企业,它们提供了75%的就业机会,代表了96%的出口商。可以说,中小企业是美国经济赖以存续的基础。”索达诺于1999年3月出任总裁,在他的领导下,最近几年,在美国证券交易所上市的中小企业数量急剧增加。与2003年相比,2004年在美国证券交易所的新上市公司数量更是猛增。2004年新上市公司占总发行量百分比19%,而同期纽约证券交易所为9%,纳斯达克为10%。在全球经济繁荣和中小企业的推动下,从2000年6月份以来,美国证券交易所综合指数(上涨53.1%)的表现一直超越纽约证券交易所综合指数上涨18.2%和纳斯达克综合指数28.0%,以及其他主要金融指数标准普尔500上涨11.7%。中小企业的股价不仅得到了很好的支撑,而且也获得了充足的流动性。交易机制美国证券交易所与其他市场不同的是,美国证券交易所给予了中小企业所需要的“特别注意和支持”,独特的“报单驱动”和“专营经纪人制度”为中小企业的股票交易提供了一个良好的平台。在美国证券交易所上市的过程中,打算上市的公司要选择一个专营经纪人。该专营经纪人具有受托责任为该公司的股票创造最佳市场,而不像纳斯达克做市商那样可能随时丢弃上市公司的股票。另外,许多在美国证券交易所运营的专营经纪公司同时也服务于纽约证券交易所。美国证券交易所通过和中小型上市公司形成战略合作伙伴来帮助提升公司管理层和股东的价值。中小型非美国发行人在建立投资者关系时会遇到特殊的困难,但我们独特的专营经纪人和交易所的服务会帮助公司渡过难关。与委托交易和做市商制度不同,公众报单直接撮合保证了投资者直接竞争,70%的成交是投资者直接交易产生的。公众报单直接交易可以降低交易费用,许多交易在不同报价的中间价成交,而做市商的干预增加了投资者的交易费用,报单只能在所报的价格上成交。同时,集中报单把大部分股票成交量集中一起交易,使直接竞争最大化。投资者直接竞争有可能导致股票价格大幅波动,为此,美国证券交易所专门开发了专营经纪人系统。这也与做市商不同,“公众报单比专营经纪人报单有优先权,可以获得最佳价格”,而“做市商的报单和公众投资者的报单会同时执行”,做市商为了自己获取费用有时候会有意加大股票的波动幅度。同时,美国证券交易所可以为公司提高可见度的宽范围服务。交易所会提供特制的服务来帮助上市公司在资本市场上获得较高声誉,并帮助公司与分析师和投资者建立良好的关系使公司的信息有频繁的机会获得市场广泛关注。另外,交易所专家,包括发行服务负责人和专营经纪人会一起努力工作来提高企业股票的吸引力。进入中国美国证券交易所众所周知,中国经济的表现成为了最近几年全球经济发展中最伟大的事件。为了增加对中国企业的吸引力和更好更快地发展美国证券交易所,自从2000年之后,直到现在,美国证券交易所在中国的业务进展并不理想。在美国证券交易所上市的中国企业有八家。分别是博迪森生化(BBC)、美东生物(AOB)、北京科兴生物(SVA)、东方信联(TST)、天狮生物(TBV)、海南金盘(JIN)、沈阳爱生制药(AXJ)和新隆亚洲(NWD)。还有一些中国企业正在申请转板到美国证券交易所或者直接上市。表现最好的是博迪森和美东生物,就博迪森来说,其股价稳定在17美元之上,PE的值也在38倍左右。在索达诺奠定未来发展坚实基础之上,美国证券交易所现任总裁沃尔科夫,沃尔科夫非常注重对亚太市场的开发。同时,美国纽约国际证券公司等一些与美国证券交易所关系密切的华尔街投资银行在中国开展业务也进入了迅速发展时期。2005年8月,经美国证券交易所批准,在美国纽约国际证券公司的辅导下,博迪森开始在其场内进行升板交易。这家公司从申报到最后批准,仅用了50天,创造了美国证券交易所升板申请获得批准最快纪录。股价从最初的开盘价6.45美元到今天的17美元以上,从最初的19倍市盈率融资到今天38倍的PE值,从最初一个亿的市值到今天的2.8亿多美元的市值,这些都发生在七个月之内。这样成功的案例也促使美国证券交易所对中国公司更加感兴趣,为了与投资银行展开更好的合作,为中国企业服务,应纽约国际集团北京代表处的邀请,借助同纽约国际集团这样有实力,且在当地有业务开展的投行的合作,来发掘一些资质好的企业到美国证券交易所上市,这成为了艾美女士此次来中国的主要目的。同时,对于美国证券交易所来说,中国市场的上市资源非常丰富,中国企业总数的99%为中小企业,其中有很大一批具有几千万或者几个亿的销售总额,这些企业很多都具备到美国证券交易所上市的条件,而很多企业在中国深交所中小板上市的资格都难以满足,从中也可以看出美国证券交易所上市的门槛之低,被称为“门槛交易所”的确不为过。同时,对于中国绝大部分企业来说,到国际资本市场去挂牌上市基本上都属于中小企业,甚至是小小企业,比如,在美国证券交易所表现非常抢眼的西安企业博迪森生化。但是,这样的企业也能获得良好的融资结果。博迪森之所以能获得在投资者的认可,艾美女士特别提醒准备到美国证券交易所上市的中国企业,除了美国证券交易所的一些良好制度在起作用之外,比如专营经纪人制度,最主要的还是要靠辅导其上市的投行的努力。在博迪森升板之前,纽约国际证券为其做了大量的宣传路演,在这些努力之下,投资者看到了博迪森快速成长的业务,看到了发展的良好前景,其实在美国证券交易所的投资者注重的就是企业的业绩和成长;在上市之后,纽约国际证券也一直在与投资者、专营经纪人和交易所进行沟通,这对于推介甚至在国内都不是知名企业的中小企业的股票来说,是至关重要的。上市流程播报编辑上市条件若有公司想要到美国证券交易所挂牌上市,需具备以下几项条件:(1)最少要有500000股的股数在市面上为大众所拥有;(2)最少要有800名的股东(每名股东需拥有100股以上);(3)满足下列条件的其中一条:三年的税前营业利润合计不少于1亿美元,2年的税前营业利润合计不低于2500万美元。12个月的收入不低于1亿美元,3年的经营现金流入合计不少于1亿美元,两年的经营现金流入每年均不少于2500万美元,流通股市值不低于5亿美元。流通股市值不低于7.5亿美元,一年的收入不低于7500万美元。在NASDAQ交易所尚未设立时,一些现存的美国大企业在公司创立之初,由于资本额尚小,加上公司名气不彰,因此选择在此上市条件较松散的地区股票上市,以便募集资金做企业扩张。例如,艾克森石油公司(Exxon Corporation)、通用汽车公司(General Motors
